About the Role
We are looking for a qualified Company Secretary with strong experience in
corporate secretarial compliances, regulatory filings, corporate governance,
and Board/Committee management. The role will be responsible for ensuring
compliance with applicable corporate laws, SEBI regulations, Secretarial
Standards, and governance requirements.
Key Responsibilities

Manage
Board, Committee and Shareholder Meetings
, including agendas, notices, minutes and resolutions.

Ensure compliance with the
Companies Act, SEBI Regulations, Secretarial Standards
and other applicable regulations.

Handle
dividend-related activities, unpaid dividend matters and IEPF compliances
.
-
Manage secretarial compliance requirements of
subsidiary companies
.
-
Ensure timely filing of statutory forms, returns and disclosures with
ROC, MCA, SEBI and other regulatory authorities
.
-
Maintain statutory registers, records, minutes books and other secretarial
documentation.

Support corporate governance frameworks and compliance best practices.
-
Draft
policies, resolutions, reports, regulatory submissions and other corporate
documents
.

Coordinate with auditors, regulators, depositories, legal advisors and other
external stakeholders.

Support internal and external audits related to secretarial and compliance
functions.

Monitor regulatory developments and advise internal stakeholders on
applicable compliance requirements.

Coordinate with various internal departments to ensure timely completion of
compliance obligations.
Required Skills

Strong knowledge of
Companies Act, SEBI Regulations, Corporate Laws and Corporate Governance
.

Hands-on experience in
Board/Committee/General Meeting processes

Strong understanding of
ROC/MCA filings and statutory records
.

Experience in
Dividend, Unpaid Dividend and IEPF compliances
.

Knowledge of subsidiary company compliances and secretarial functions.

Strong drafting, analytical and communication skills.

Ability to interpret regulations and ensure timely compliance.

High attention to detail, ownership and accountability.

Strong stakeholder coordination skills.
Preferred
-
Experience with a
Market Infrastructure Institution (MII), Stock Exchange, Depository or
SEBI-regulated organisation
.

Candidates based in or willing to relocate to
Mumbai
preferred.
