Job Description |
Position Overview
Responsible for managing corporate secretarial, governance, and regulatory
compliance matters, ensuring adherence to Companies Act, SEBI Regulations,
FEMA, RBI requirements, and stock exchange norms. The role involves statutory
filings, board and shareholder meeting support, stakeholder relationship
management, regulatory monitoring, and coordination with auditors, regulators,
and internal teams to ensure timely and effective compliance.
Role and Responsibilities

Handling timely compliances of a Listed entity with applicable provisions of
Company Laws, SEBI Act and its allied Regulations, FEMA, RBI.

Responsible for handling activities and liaising with Registrar and Share
Transfer Agents.

Handling documentation requests and redressal of queries/grievances of
Stakeholders.

Monitor & comply with compliance of various policies and procedures laid
down by the Board of Directors by the relevant departments.

Preparing and filing of various forms/reports/returns as required under the
Company Law, SEBI Act/Rules/Regulations, RBI, FEMA with Regulators, Stock
Exchange, etc.

Maintenance of Records/Registers under the Companies Act and SEBI
requirements.

Assisting in all the necessary arrangements for the meetings of Board and
its Committees, drafting of Notice, Agenda and Minutes, etc.

Coordinating with concerned departments for information/documents required
for Annual Report, Directors Report, Corporate Governance Report, Management
Discussion and Analysis Report, Notice of AGM, etc.;

Make necessary arrangements for shareholders’ meetings, including venue and
various contractors, compilation of information deck for the meetings;

Adhering and monitoring of relevant SOPs for secretarial work and ensuring
adherence to the same.

Coordinate with Statutory Auditors, Secretarial Auditors, Internal Auditors,
etc., for any documents/information required and ensuring their timely
appointments and filing of various returns for the same.

Research on various Company Law/SEBI regulations and other related matters.

Daily Monitoring of applicable Regulatory updates from regulator’s websites
and providing updates to the team and relevant stakeholders.

Managing external stakeholders including agreement and invoicing.
Education & Experience Requirements

Qualified Company Secretary from the Institute of Company Secretaries of
India.

Law degree (preferred).
-
Minimum 7 - 8 years’ post qualification experience in working with
Equity/Debt listed companies is a must.

Should be adept with the Compliances under the Companies Act 2013 and the
rules made thereunder, SEBI Regulations and allied laws.

Experience in Insurance Law would be an added advantage.
