Position Overview

We are seeking a seasoned and dynamic Leader in Legal with expertise in Real Estate Transactions, Private Equity, and Mergers & Acquisitions (M&A). The role demands a strategic thinker capable of navigating complex transactions, ensuring compliance, and managing legal risks while aligning with organizational goals.

ROLES & RESPONSIBILITIES

Deal Structuring and Advisory:

·          Act as the primary legal advisor for major business transactions, including M&A, joint ventures, investments, and strategic partnerships.

·          Devise risk mitigation strategies for M&A transactions.

·          Oversee due diligence, negotiation, and execution of definitive documents, collaborating with operational teams for seamless integration.

·          Partner with in-house and external tax advisors to design optimal deal structures for acquisitions, divestments, and SPVs

Acquisition:

·          Strategically plan and structure cost effective deals to align with organizational objectives keeping the requirements of licensing applicable in NCR region, stamp duty efficiency and RERA compoiance.

·          Lead and expedite title and corporate due diligence processes for acquisitions and ensure that the findings are suitably addressed in the definitive documents.

·          Identify, analyze, and mitigate risks encountered during diligence.

·          Drive negotiations and ensure prompt execution of definitive agreements

·          Ensuring the findings of financial and technical due diligence process are suitably addressed in the definitive documents.

·          Support in bidding process including raising pre-bid queries in case of ambiguity, identifying and ensuring compliance with eligibility requirements of the bid, bid conditions etc.

Divestments and Dilutions by the Company:

·          Manage due diligence processes, coordinating with internal and external stakeholders.

·          Address and resolve queries from buyers/investors to expedite deal closures.

·          Lead negotiations and finalize documentation efficiently. .

International Business:

·          Provide advisory support for raising offshore funds.

·          Assist in due diligence and facilitate offshore transaction documentation and transaction closures

  Dispute Resolution and Litigation

·          Manage pre-litigation and litigation matters concerning RMZ developments.

·          Resolve disputes with stakeholders, ensuring cost-effective and efficient outcomes.

·          Collaborate with external counsel and internal teams for contractual compliance.

Additional Requirements:

·          Monitor NCR specific real estate laws and regulatory compliance.

·          Support government relations, community engagement, and public-private partnerships as needed.
