Role: Consultant : M&A - IT Due Diligence
Location: Gurgaon
Team Overview
The position in discussion is with Integration & Separation (I&S),
Technology in M&A within the Deal Advisory group at KPMG Global
Services (KGS), which is KPMG’s global delivery center and an integral
part of the firm’s strategy to enhance innovation, build scalability, and
improve profitability globally.
KGS’ Deal Advisory & Strategy group is a team of over 1000+
professionals based in Gurgaon, Bangalore, and Mumbai.
KGS DA&S has been providing solutions to KPMG member firms globally.
By leveraging insights and applying best practices, the team helps create
customized approaches to M&A transactions. The team’s capabilities
include Corporate Finance, Transaction Services, Strategy, Business
Modelling, Accounting Advisory Services, Deal Advisory Research and
Benchmarking.
KPMG’s Integration & Separation team (ISA) advises clients on
executing the operational integrations of acquisitions or joint ventures,
and separations of businesses, in the case of divestitures or sale.
I&S oes this by taking an enterprise-wide view of M&A deals,
across all the functions, to deliver value to our clients. In addition,
the team is also involved in pre-deal Due Diligence on specific areas of
business.
The Technology in M&A team is involved in pre-deal and post-deal execution work related to technology strategy, with a focus on identifying potential risks, synergies, and optimization of the IT function. The team works on a wide range of technology due diligence and operational integration activities which include TSA development, Integration Readiness, Day 1 preparation, and supporting the implementation of such plan s.
We are recruiting for Consultant/ Assistant Manager in the Technology M&A team. In this role, you would be leading small to medium sized engagements (technology due diligence, post-merger integrations, carve outs) and being the day to day support for clients on these engagements. You will work closely alongside Senior Managers/Directors on delivery of multiple projects simultaneously.
o Due Diligence:
o Analyzing target data to build up a view on the technology of the
business including cost, products and systems, and IT contracts.
o Finding risks in Target’s IT environment, remediations and associated
costs.
o Condensing the data and explaining findings to other team members,
highlighting the impact of technology on the business strategy,
operations, and ultimately, deal valuation.
o Developing an understanding of IT benchmark and qualitative information
to provide insights to clients to describe a typical IT function.
o Assisting and leading client communications, calls and meetings.
o Contributing content for sections of IT reports/deliverables.
Integration and Separation
:
o Advising clients and managing all client communications on all
technology aspects of integration, separation (carve outs) and
optimization initiatives (e.g., synergy analysis) including the
development of target operating models, understanding the current IT
landscape, defining transitional service agreements, developing detailed
plans, and supporting the implementation of such plans.
o Leading the technology workstream in integrations and separations within
a larger team of Integration & Separation colleagues to fulfill their
workstream objectives.
o Facilitating and leading key client workshops and meetings.
o Identifying, reviewing, or calculating client synergies for IT within a
larger team.
o Wider responsibilities:
o Business development, ensuring high chargeability of the KGS team.
o Project Management, including work allocations, guiding and reviewing
the quality of work of junior project team members.
o People management, managing the performance of junior staff members
through
coaching and mentoring.
Interacting with senior client stakeholders as well as internal
stakeholders (KPMG Partners and Directors).
o Supporting the growth of the team through development of new
propositions and initiatives.
o Ensuring engagement management protocols are followed and kept up to
date including quality and risk management.
o When you are not working on a project, you will provide support to
senior colleagues in a number of different aspects such as preparation of
proposal materials, development of propositions.
Mandatory Skills
o MBA / Bachelor’s degree in a related field from an accredited
college/university preferably
with a major in Technology.
o
3+ years of experience in M&A IT Integration and Separation / IT
strategy / IT due diligence / solution architecture / IT project
management.
o Good overall understanding of the following areas with specialist
knowledge of at least one:
o Application Support & Maintenance
o Network & Data Center Operations Management
o Software Development Life Cycle
o Service Management
o Cyber Security
o End user computing
o Disaster Recovery/Business Continuity
o Cloud-based Deployment Models (e.g., Infrastructure-as-a-Service)
Software Asset Management/Compliance
o Infrastructure Optimization (e.g., consolidation, rationalization, cost
savings)
o Service Level Definition and Agreements / IT Scorecard and Metrics
o Enterprise Resource Planning
o Technology certifications such as ITIL, AWS, Azure, GCP, TOGAF, COBIT,
CISSP, COMPTIA etc.
would be a plus.
o Knowledge about enterprise business applications (e.g. ERP, CRM).
o Experience in assisting with technology assessment/diligence.
Preferred Skills
o A good understanding of, or preferably a background in, an M&A
environment.
o
IT specialization such as: IT strategy, applications, infrastructure,
architecture, cyber security.
o Experience in facilitating client meetings, workshops and interviews.
o Project management experience and track record of successful delivery of
projects.
o Comfort with ambiguity, fluid consulting situations, and a highly
pressured environment as
characteristic of transactions.
o Ability to work well under pressure, learn quickly, and leverage skills
in new situations.
o Ability to travel at a moderate level.
