Role & Responsibilities
Role:
The Head – Legal will be responsible for leading and overseeing the Group’s
legal strategy, governance framework, regulatory compliance, and litigation
management across all businesses. The role will ensure that the organization
operates within the legal and regulatory framework while safeguarding the
Group’s interests in corporate, commercial, regulatory, and dispute matters.
Responsibilities would include the following:
1. Legal Strategy & Advisory

Act as the principal legal advisor to the top management and senior
leadership.

Develop and drive the Group’s legal strategy aligned with business goals and
risk management.

Advise on corporate structuring, M&A, investments, joint ventures, and key
commercial transactions.
2. Regulatory & Statutory Compliance
-
Ensure compliance with Companies Act, SEBI regulations, FEMA, and other
applicable laws.

Monitor regulatory developments and advise management on implications.
-
Ensure adherence to SEBI LODR, disclosure norms, and corporate governance
requirements.

Liaise with regulators including SEBI, ROC, RBI, and other statutory
authorities.
3. Litigation & Dispute Management
- Oversee all litigation matters across courts and tribunals.

Manage legal strategy for matters before NCLT, NCLAT, SEBI authorities, High
Courts, and other forums.

Coordinate with external counsels and drive dispute resolution, arbitration,
and settlements.
4. Corporate Governance

Support the Board and Committees in strengthening governance practices.

Provide legal guidance on board processes, resolutions, and governance
policies.

Ensure compliance with corporate governance and regulatory frameworks across
group entities.
5. Contract Management
-
Draft, review, and negotiate key commercial agreements including vendor, JV,
and strategic partnership contracts.

Standardize legal documentation and ensure contractual risk mitigation.
6. Legal Risk & Compliance Management
-
Identify legal risks and establish mitigation and compliance frameworks.

Oversee compliance related to FEMA, corporate laws, and other statutory
provisions including IPC where applicable.
7. Regulatory & Stakeholder Interface
- Represent the Group before regulatory bodies and authorities.

Manage relationships with regulators, government agencies, and legal
advisors.
8. Legal Team Leadership
- Lead and mentor the Group legal team.
- Manage engagement with external law firms and legal consultants.
Key Competencies and Experience required
Key Competencies

Strong expertise in Corporate Law, SEBI regulations, FEMA, and Companies
Act.

Experience in handling matters before NCLT, NCLAT, and regulatory
authorities.

Strategic legal thinking with strong negotiation and dispute management
capabilities.

Ability to work closely with senior leadership and business stakeholders.
- Strong governance orientation and risk management approach.
Desired Experience & Qualification
- Qualified LLB / LLM from a reputed institution.

15–20 years of experience in corporate legal practice with exposure to large
corporate groups.

Extensive experience in SEBI regulations, corporate law, FEMA, litigation,
and regulatory matters.
-
Prior experience in infrastructure, manufacturing, energy, or diversified
business groups preferred.
