Company Overview:
Climate Fund Managers (CFM) is an investor in a renewable energy company,
known as Aether GreenFuels (“AGF”) which is headquartered in Okhla, New Delhi,
India and has an office in Lucknow, Uttar Pradesh. To comply with CFM’s
requirements, this company requires a highly motivated and attentive ESG
Manager.
The objective of AGF is to develop, construct and operates biofuel projects in
India to contribute to climate change mitigation. AGF will start construction
on a biogas project in Uttar Pradesh in Q4 2025. A pipeline of projects is
being identified.
Job Summary:
The ESG Manager will be responsible for implementing the ESG strategy and
collaborating with various stakeholders to identify and prioritise ESG
initiatives that align with the Company's mission, values, and long-term
goals. The ESG Manager will also track, measure, and report on ESG performance
(including on health, safety, social and environment (HSSE)) to internal and
external stakeholders, ensuring transparency and accountability.
The ESG Manager will report to the ESG Sr. Manager and to the Director, ESG in
the New Delhi office of the Company along with the ESG Subcommittee in the
case significant ESG deficiencies or concerns are identified and unresolved.
The onsite HSSE resources (i.e. HSSE Managers/Officers/Owner’s Engineers and
Community Liaison Officers (CLOs)) will report to the ESG Manager.
The ESG Manager will be based at the office in New Delhi and will be expected
to travel and spend time in the project offices (including the office in
Lucknow), project sites and meetings as required. It is expected that the ESG
Manager will travel approximately 40% of the time.

Key Responsibilities of the Role:
The ESG Manager will be responsible for:
• Supporting active implementation of ESG in an integrated and collaborative
manner by liaising with the Company’s investors, the AGF ESG Subcommittee,
technical advisors, contractor(s) and other company departments (e.g.,
Engineering, Procurement, Contracting, Legal/Compliance, HR, etc.);
• Implementing, maintaining and managing compliance with the Company’s
Environmental and Social Management System (ESMS) and HSSE management plans
and procedures to manage HSSE risk in AGF’s business operations and ensure
compliance with industry standards, regulations, and best practices;
• Managing HSSE compliance with national legislation and investor requirements
relating to the Company’s activities and operations, which includes Good
International Industry Practice (GIIP) and International Finance Corporation
(IFC) Performance Standards and World Bank Group (WBG) Environmental, Health
and Safety Guidelines (i.e., “HSSE Requirements");
• Driving continuous improvement in the HSSE performance of AGF, its projects
and contractors;
• Proactively support ESG Senior Manager and Director in managing day to day
ESG issues including but not limited to technical papers, review of Consultant
reports (ESIA, ESDD, other (studies), providing site information, Client
queries etc. Also, support ESG Senior Manager in create positive impact
through the implementation of AGF’s Community Development and gender action
plans; • Working with the ESG team, HR Manager and other departments to
mainstream gender and women’s economic empowerment through the Company’s
activities and operations; and
• Other duties as decided by the ESG Senior Manager and Director.
Detailed Job description:
Governance and ESMS
1. Together with the ESG Director, prepare a full plan (schedule, budget and
resources) for implementation of the HSSE Requirements and the ESMS.
2. Organise, plan, coordinate and manage the implementation of all HSSE
procedures and action plans, incl. where relevant, stakeholder engagement
(this includes the establishment and management of relations with project key
stakeholders).
ESG Risk Management
1. Together with the Project Manager and site based HSSE personnel, ensure the
full implementation of the AGF ESG requirements (including the ESMP and other
risk management requirements).
2. Ensure that all ESG project risks are included in a project dedicated risk
register.
3. Ensure that ESG Requirements (including GIIP and investor requirements) are
included in project agreements/contracts.
4. Closely cooperate with the local project/branch managers to prepare and
implement a HSSE risk response planning in line with GIIP, including clear
actions and action owners for risk control in practice.
5. Liaise with and manage consultants conducting ESG-related work to ensure it
is undertaken in accordance with AGF’s, legal and investor requirements (e.g.,
EIA, IFC Compliant-ESIA, water sustainability studies, climate risk
assessments, biodiversity studies, gender studies, audits, etc.). This shall
include preparing Request for Proposals (RFPs), reviewing proposals and
deliverables. Manage the performance of consultants appointed to conduct ESG
studies and ensure that high quality output is delivered on time both for
review and approval by AGF and the investors.
ESG Compliance
1. Manage and monitor ESG compliance with AGF, legal and investor
requirements.
2. Prepare, submit and track all relevant and required ESG permits, follow-up
with competent authority requirements and prepare and implement a compliance
management system to ensure full compliance with permit conditions in
practice. Where applicable, establish and manage a good working relationship
with the key authorities.
3. Implement, monitor and report the requirements set out in the AGF ESAP, and
any other ESAP that is prepared (e.g. following audits)
Project ESG Team and Contractor Management
1. Lead and mentor to the onsite ESG Team, fostering a culture of
collaboration, innovation, and continuous improvement. Ensure the HSSE Team is
equipped with the necessary resources and support.

2. With other ESG/HSSE team members, prepare and implement a contractor
management plan to be implemented in relation to all contractors appointed to
work for and on behalf of AGF/the project.
3. Ensure that the contractor and the sub-contractors abide with the project
ESG policy and procedures and evaluate ESG performance on a regular basis.
4. Together with the onsite ESG resources (where available), identify key
participants of AGF and contractors to participate in a project risk
committee/working group, instruct all participants on the project risk
management approach, and organize recurrent risk management sessions, in close
cooperation with the local project/branch manager.
5. Together with the onsite ESG resources (where available), deliver a
programme of training including induction and refresher training and
requirements for all workers.
6. Assess contractors’ ESG capacity and commitment, risk assessment routines,
and training programs that are in place.
ESG Performance Monitoring
1. Prepare detailed construction/operation-phase ESMP for implementation
(following the IFC compliant ESIA-ESMP from the consultant) with practical
details for sound implementation, and ensure all required resources are
available. Ensure that the ESMP is implemented (including any E&S
monitoring) and ensure all documentation is maintained to demonstrate
compliance.
2. Conduct ongoing monitoring and evaluation of the implementation of the ESG
Requirements and the ESG performance of AGF, the projects and contractors
through monitoring visits and audits, including of labour and working
conditions and worker accommodation. Where required, accompany the
investor/investor representatives to the project site(s) for monitoring
visits.
3. Ensure external audits are conducted in timely manner. Engage with
consultants on external audits and ensure smooth transfer of information to
consultants.
4. Communicate and coordinate any corrective actions to ensure efficient close
out of any corrective action plans.
5. Work together with the Project Managers and site based HSE personnel in
overseeing and monitoring health and safety. This shall include implementing
and monitoring compliance with the investor’s Foundations for High Risk
Activities and ensure that the equipment and procedures to achieve compliance
with each of the High Risk Activities that may occur on the project site(s)
are in place.
ESG Reporting and Disclosure
1. Lead on the preparation of ESG inputs and present at meetings, including at
the project development/construction/operation committee meetings (attended by
investors) and support the ESG Senior Manager and Director to prepare and
present at the AGF ESG Subcommittee and Board of Director meetings (as
required).
2. Together with the ESG Senior Manager and Director establish adequate ESG
monitoring and reporting systems at AGF and lead on the collection,
complication and reporting of ESG data and information to support AGF and
timely project reporting obligations, including to the investors.

3. Act to immediately notify AGF of any accidents or incidents, in accordance
with defined processes. Proactively act in cases where ESG issues are
escalating, to avoid risks to people or property.
Social Responsibility
1. Support ESG Senior Manager in meeting CDP requirements. Overseeing
stakeholder engagement and consultation at project-level in relation to the
AGF’s activities and operations (including ensuring the ESIA Non-Technical
Summary is disclosed and there is ongoing engagement throughout the project
lifecycle).
2. Ensure implementation of the AGF/project grievance redressal mechanism and
where required, support the projects to manage community grievances.
3. Support ESG Senior Manager in ensuring needs assessments are undertaken and
implement the Community Development Programme/Giving Back Programme and action
plans, in line with AGF and investor requirements and available budgets.
4. Support Senior Manager in implementing, monitoring and reporting the
requirements set out in the Gender Integration Action Plan (GIAP).
5. Support Senior Manager in providing site level information related to CDP
Programmes and adequate implementation of the same; also ensure constant
liaising with CDP partners.
Stewardship
1. Identify and prioritise ESG initiatives, including those related to water
conservation, wastewater management, and community engagement.
2. Stay up to date with emerging ESG trends, standards, and regulations, and
where required/subject to approval, incorporate them into AGF's ESG strategy
and practices.
3. Collaborate with internal departments and external partners to promote ESG
initiatives and ensure alignment with AGF's mission and values.
Experience and Qualifications:
Required:
• Educational Background: Bachelor's or Master's degree in a relevant
discipline, such as environmental science, sustainability, Environmental
engineering or a related field.
• Minimum of 06 years of experience in ESG/health and safety risk management,
ESMS implementation, ESIA, sustainability, preferably with a focus on the
renewable energy sector, or at least in infrastructure/construction projects.
• Experience of applying of GIIP, IFC Performance Standards, ILO Standards.
• Knowledge of HSSE regulations and relevant to renewable energy/waste to
value.
• A high degree of personal and professional integrity and the ability to
drive change.
• Excellent communication skills (oral and written) in English.
Preferred:
• Renewable energy/Waste to Value/Infrastructure experience.
• Experience in auditing, undertaking ESIAs, EHS studies etc.
• Experience in managing health and safety and/or health and safety
qualification.
• In-house ESG role and/or E&S Consultancy background and/or managing
consultants.
